Setting up company
Limited liability companies are the most common legal forms of organization of companies due to the limited liability of partners. They are held liable for the company’s obligations only within the limits of their contribution. In addition, entrepreneurs prefer to set up S.R.L.s due to the very low value of the share capital. The minimum required by law is 200 lei, and the capital is divided into equal shares. They cannot be less than 10 lei.
An SRL establishment can be constituted by a sole shareholder, and the maximum number is 50 associates and administrators, the associates within the company being able to be natural persons and legal entities.
Documents required for the establishment of SRL
- 3 naming variants for the future company
- Associate / associates / administrator ID card
- Copy of the proof of ownership of the registered office (contract of sale, purchase, donation, certificate of heir, lease contract endorsed by the Financial Administration, etc., the agreement of the neighbors with common walls if the headquarters will be in the block)
- Identity card owner / owners of the registered office
- The share capital of at least 200 lei
